Terms of Service

1. Acceptance of Terms

By engaging Existify ("we," "us," "our") for any service, you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not proceed with our services.

2. Services

Existify provides MVP development sprints and related technical services including product strategy, engineering, QA testing, deployment, and post-launch support. The specific deliverables for each engagement are defined in a Scope Document agreed upon before the sprint begins.

3. Scope Freeze

All projects begin with a Scope Freeze — a fixed set of features and deliverables agreed upon before development starts. Requests for features outside the agreed scope will be scoped as separate work and quoted accordingly. No scope expansion occurs mid-sprint without a new agreement.

4. Payment Terms

• 50% upfront — Due before sprint begins. Work does not start until this is received.
• 50% on launch — Due on the day of production deployment.
• All payments are in Indian Rupees (INR) unless otherwise agreed.
• Invoices are issued via Stripe. Payment must be completed within 3 business days of invoice.
• Late payment (beyond 7 days) may result in a pause or termination of service.

5. Intellectual Property & Code Ownership

Upon receipt of final payment, the Client receives full ownership of all custom code, designs, and deliverables created specifically for their project. Existify retains ownership of any reusable internal tooling, frameworks, or boilerplate used in development.

Existify reserves the right to reference the project in its portfolio and case studies, unless the Client requests confidentiality in writing before project commencement.

6. Client Responsibilities

The Client is responsible for:

• Providing timely feedback during designated review windows (Day 6)
• Supplying required content, assets, credentials, and access within 24 hours of request
• Ensuring legal compliance of their business model and product
• Managing their own domain, hosting accounts, and third-party API subscriptions after handover

7. Revisions & Feedback Window

Day 6 of every sprint is the designated review day. The Client may request reasonable revisions to delivered work that fall within the agreed scope. Revisions outside scope are quoted separately. After the final handover, Existify's responsibility for the project ends unless a retainer is active.

8. Warranties & Limitations

Existify warrants that all work will be completed with professional care and skill. However, we do not warrant that the product will be error-free, uninterrupted, or meet every business objective. The Client acknowledges that MVPs are by nature early-stage products.

Existify's total liability to the Client shall not exceed the total fees paid for the project in question. We are not liable for indirect, incidental, or consequential damages.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. Existify will not disclose the Client's business ideas, technical architecture, or sensitive data to third parties without written consent. Clients may request a formal NDA — see our NDA policy.

10. Termination

Either party may terminate the engagement with written notice. If the Client terminates after work has begun:

• The upfront payment (50%) is non-refundable
• Work completed up to termination date belongs to Existify until full payment is received
• If Existify terminates, a pro-rata refund of the upfront payment will be issued for unstarted work

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Mumbai, Maharashtra.
